Nations Trust Bank PLC (NTB) has officially announced that the transfer of Hongkong and Shanghai Banking Corporation’s (HSBC) Retail Banking business in Sri Lanka has been completed, with the acquired portfolio transitioning to NTB effective May 1, 2026. The Island
This landmark deal marks one of the most significant shifts in Sri Lanka’s retail banking landscape in recent memory, bringing a globally recognised bank’s local consumer operation fully under a homegrown institution.
How It All Started
The move follows a strategic review by HSBC that determined divestment of the retail unit was the preferred course for the HSBC Group and its stakeholders. Retail Banker International
NTB and HSBC signed a binding Sale and Purchase Agreement in September 2025, covering the retail banking operations of HSBC Sri Lanka which includes premium banking customers, credit cards, retail loans and accounts of approximately 200,000 customers. NTB funded this investment entirely through internally generated funds, underscoring its robust balance sheet and operational resilience. NationstrustNationstrust

What Was Transferred
The migration brings approximately 200,000 retail customer accounts under NTB, encompassing savings and current accounts, fixed deposits, credit and debit cards, retail loans, and a high-net-worth customer segment that now joins Nations Trust Bank Private Banking. Lankabusinessonline

The Transition Process
During the transition window beginning at 7 p.m. on April 30, customers temporarily lost access to all accounts and services including ATM withdrawals, card payments, and online banking until NTB systems came online. Daily FT
Customers received welcome letters from NTB with their new account numbers, debit and credit cards, cheque books where applicable, and instructions for digital banking access. Daily FT
HSBC Sri Lanka credit cardholders received replacement NTB Mastercard products as part of the transition. HSBC cheque books became invalid after the transfer, though cheques issued prior to the transition date will continue to be honoured for up to two months, subject to funds being available. Daily FT
To support customers during the transition, NTB ensured that multiple access points and support channels remain available, including a 24-hour Help Desk and the Nations Direct mobile app. Lankabusinessonline
NTB's Growing Branch Network
NTB’s countrywide network has now expanded to a total of 96 branches, with seven newly added locations. Branches in Bambalapitiya, Flower Road, Union Place, and Pelawatte will operate as dedicated private banking centres, while the remaining three are situated in Nugegoda, Jaffna, and Kandy. Jobs Protected
Under the terms of the agreement, NTB offered employment to all staff previously engaged in HSBC Sri Lanka’s retail activities, ensuring no job losses as a result of the transition. Retail Banker International

What HSBC Retains
Following the transition, HSBC branches in Sri Lanka began operating as NTB branches, with the exception of the branch at HSBC’s Head Office, which will continue functioning as a Corporate Banking outlet. HSBC therefore maintains a corporate and institutional presence in the country, while fully stepping back from personal and retail banking. Daily FT
What This Means for Sri Lanka’s Banking Sector
This acquisition cements NTB’s position as one of Sri Lanka’s leading retail and premium banking players. NTB was the first local bank to offer Private Banking in Sri Lanka 25 years ago and holds market leadership in the credit card industry. Adding HSBC’s premium customer base further strengthens that dominance. Nationstrust
For everyday Sri Lankans who banked with HSBC, the message is clear their accounts, cards, loans and banking history have moved, but the service continues, now under a local flag.
